Part A Website terms of use
1. About these website terms
These terms apply when you use hexcore.digital. They do not by themselves form a contract for paid services. A services contract is formed only through an accepted written proposal, order form, or other agreement that identifies Jengu Ltd as the supplier.
2. Permitted use
You may view and use the site for lawful business and personal information purposes. You must not interfere with the site or its security, introduce malicious code, scrape it in a way that damages or overloads it, attempt unauthorised access, or use its content unlawfully.
3. Intellectual property
Unless stated otherwise, Jengu Ltd or its licensors owns the site and its content. You may not reproduce, adapt, distribute, sell, or commercially exploit a substantial part without written permission. Trade marks and third-party material remain the property of their respective owners.
4. Information, availability, and links
Website content is general information and may change. It is not professional advice, a binding quotation, or a guarantee of availability, results, rankings, traffic, sales, or AI citations. We may suspend or change the site without notice. External links are provided for convenience; the external provider controls its service and terms.
5. Website liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to that, Jengu Ltd is not liable for indirect or consequential loss arising solely from use of, inability to use, or reliance on this free public website.
6. Privacy and governing law
Our privacy notice explains how we use personal data. These website terms and any non-contractual dispute concerning the site are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law provides otherwise.
Part B Business client services terms
Part B applies only where an order form, proposal, or other written agreement incorporates this version of these terms. It is intended for clients acting wholly or mainly for business purposes. Consumers require separate terms.
7. Contract and priority
The contract consists of the signed or otherwise accepted order form and these terms. The order form identifies the services, deliverables, timetable, fees, payment schedule, subscription or minimum term, and any special terms. If they conflict, the order form takes priority, followed by any data-processing schedule, then these terms. Marketing material and early concepts are not contractual promises unless repeated in the order form.
8. Services and client responsibilities
We will provide the agreed services with reasonable care and skill. The client will give timely instructions, approvals, access, accurate information, and content it has the right to use. Dates depend on those inputs and on third-party services. A delay caused by the client may move the timetable and create reasonable additional charges after notice.
9. Changes and acceptance
Either party may request a change. A change affects the contract only when its scope, price, and timing are agreed in writing. The client must review deliverables within the review period in the order form and identify material departures from the agreed scope. Minor defects do not justify rejecting the whole deliverable. If no review period is stated, it is ten business days.
10. Fees, tax, and payment
The client will pay the fees and any agreed third-party costs shown in the order form. Fees are exclusive of VAT unless expressly stated otherwise; VAT is charged only where legally applicable. Invoices are due within 14 days unless the order form states another period. We may suspend affected services after giving reasonable notice of an overdue undisputed amount. We reserve any statutory right to interest and recovery costs on late commercial payments.
11. Subscriptions, minimum terms, and ending the contract
Any minimum term, renewal, notice period, and end-of-term arrangements must be stated in the order form. A party may end the contract immediately for a material breach that is not remedied within 14 days after written notice, insolvency, or unlawful use. On termination, the client pays for work performed and committed non-cancellable costs up to the termination date. Clauses intended to survive termination remain effective.
12. Hosting, domains, and third-party services
Hosting, domain names, content systems, payment tools, fonts, plugins, APIs, and other third-party services remain subject to their providers' terms, availability, and charges. The order form must state which party holds each account and what is included. We are not responsible for a third-party change or failure outside our reasonable control, but we will provide reasonable assistance within the agreed scope.
13. Search, accessibility, security, and results
Unless the order form states measurable requirements, references to SEO, GEO, performance, accessibility, compatibility, or security describe the agreed work rather than a guaranteed outcome. Search indexing, rankings, traffic, sales, conversions, regulatory approval, and AI citations are not guaranteed. The client remains responsible for its business claims, sector-specific rules, and final approval of its content.
14. Intellectual property
Each party keeps ownership of material it owned before the contract. The client warrants that it may provide and authorise use of its content. On full payment, the client receives the ownership or licence expressly selected in the order form for bespoke deliverables. Unless the order form expressly assigns them, our reusable methods, tools, templates, libraries, know-how, and background materials remain ours and are licensed to the client on a perpetual, worldwide, non-exclusive basis only as needed to use the deliverables. Third-party material remains subject to its own licence.
15. Confidentiality and data protection
Each party will protect the other's confidential information and use it only for the contract, subject to usual exceptions for public, independently developed, lawfully obtained, or legally required information. Each party acts as an independent controller for its own business administration. If we process personal data solely on the client's instructions, the parties will put an appropriate data-processing schedule in place before that processing begins.
16. Warranties and liability
Nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title, or any liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss. Our total aggregate liability arising from an order is limited to the fees paid or payable under that order during the 12 months preceding the event giving rise to the claim. The limits do not reduce the client's obligation to pay valid invoices.
17. General
Neither party is liable for delay caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effect. We may use suitably qualified subcontractors and remain responsible for the agreed services. Neither party may transfer the contract without the other's written consent, except as part of a bona fide business transfer. Notices must be sent to the contact details in the order form. A delay in enforcing a right is not a waiver. If a provision is unenforceable, the remainder continues. No person other than the parties has rights under the Contracts Rights of Third Parties Act 1999. The contract is the entire agreement about its subject and may be changed only in writing.
18. Governing law and disputes
The parties will first try in good faith to resolve a dispute through senior representatives. The contract and any non-contractual dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
